The Hydroponics Company Limited (THC) is undertaking an initial public offering (IPO) in Australia, and is scheduled to list on the ASX in April 2017.

Investors should download and read the prospectus below before investing in the offer. The Australian Corporations Act prohibits any person from passing on to another person the Application Form unless it is accompanied by or attached to a complete copy of this Prospectus.

The shares will list and trade on the ASX in Australian Dollars. The IPO offer is at AU$0.20 and investment is being accepted through the Equitise Platform at the price of NZ$0.22

OFFER OVERVIEW

Initial Public Offering of 25,000,000 Shares in The Hydroponics Company Limited (THC) at an issue price of A$0.20 per Share to raise a minimum of A$5,000,000 with attaching Options on a 1 for 2 basis. 

Investments through the Equitise platform are for a minimum of A$2,000 and a maximum of A$5,000. 

Oversubscriptions for up to 15,000,000 Shares with attaching Options on a 1 for 2 basis may be accepted to raise up to an additional A$3,000,000.

EXECUTIVE SUMMARY

The Hydroponics Company Limited (THC) is an Australian public company that was formed to be a leader in the development and delivery of medicinal cannabis; worldwide manufacturer and distributor of hydroponics equipment, materials and nutrients; and large-scale hydroponic greenhouse design and construction.

The burgeoning market in North America and liberalized laws surrounding cannabis production have created a high demand for the Company's hydroponic product line. The sector is experiencing strong growth as laws are passed in Australia, New Zealand, US and Canada permitting the possession and consumption of cannabis either for medicinal or recreational purposes.

The projected total economic impact of the US Cannabis Industry is estimated to be between US$24.4 and US$44 billion for 2020 representing a 250% increase over 2016 (Source: The State of Legal Marijuana Markets – 4th Edition (Mid-Year Update)).
